DrakoTrove Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Hatch & Hype Digital, its subsidiaries, products, and proprietary platforms, including but not limited to DrakoTrove ("Company," "we," "us," or "our").

By accessing, registering for, subscribing to, or using DrakoTrove in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree, you are not authorized to use the service.

1. Nature of the Service

DrakoTrove is a proprietary business operations platform designed to assist companies with dropshipping coordination, distributor communication, workflow automation, and related business tooling.

DrakoTrove does not act as a distributor, seller, payment processor, escrow service, or intermediary of funds. All transactions, payments, shipments, and agreements remain solely between the User and their chosen distributors and customers.

2. Eligibility and Authority

By using DrakoTrove, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to bind yourself or the entity you represent
  • All information you provide is truthful, accurate, and current
  • You are operating in compliance with all applicable local, state, federal, and international laws

Providing false, misleading, or unauthorized information constitutes a material breach of these Terms.

2A. User Responsibility for Customer Data

YOU ARE SOLELY RESPONSIBLE for the accuracy, legality, and lawful sharing of all customer data, shipping addresses, contact information, and product details entered into or transmitted through DrakoTrove.

Hatch & Hype Digital and DrakoTrove are NOT responsible or liable for:

  • Misdeliveries caused by incorrect shipping addresses
  • Privacy incidents resulting from unauthorized data sharing
  • Customer complaints arising from inaccurate order information
  • Legal violations stemming from unlawful data collection or usage by the User
  • Distributor errors caused by incorrect product specifications or quantities

Users must obtain proper consent from customers before entering personal information into DrakoTrove. Users must comply with all applicable data protection laws including GDPR, CCPA, and other privacy regulations.

The Company provides the platform as a tool; the User retains full responsibility for how the tool is used and what data is processed through it.

2B. Tax Identifier Responsibility and Disclaimer

DrakoTrove allows Users to optionally provide tax identification numbers such as EIN (Employer Identification Number), VAT (Value Added Tax) numbers, or similar identifiers for business and invoicing purposes.

YOU ARE SOLELY RESPONSIBLE for:

  • The accuracy and validity of any tax identification numbers you provide
  • Ensuring you have legal authorization to use and share such identifiers
  • Compliance with all applicable tax laws and regulations in your jurisdiction
  • Proper reporting and remittance of taxes in connection with your business operations

IMPORTANT DISCLAIMERS:

  • Hatch & Hype Digital and DrakoTrove do NOT verify, validate, or authenticate tax identification numbers
  • The Company does NOT provide tax, legal, or accounting advice
  • The Company is NOT responsible for tax compliance, reporting, or liabilities arising from your use of tax identifiers
  • Storage of tax identifiers on the platform does not constitute tax consulting or advisory services

INDEMNIFICATION: You agree to indemnify, defend, and hold harmless Hatch & Hype Digital, DrakoTrove, and their officers, directors, employees, and agents from any claims, penalties, fines, damages, or legal actions arising from:

  • Inaccurate or fraudulent tax identification information you provide
  • Misuse or unauthorized use of tax identifiers
  • Tax compliance failures or violations
  • Any disputes with tax authorities related to identifiers stored or transmitted via DrakoTrove

3. Prohibited Uses and Ethics Clause

DrakoTrove maintains a strict ethical standard. The following activities are expressly prohibited, whether directly or indirectly:

3.1 Prohibited Goods and Services

Users may NOT use DrakoTrove to facilitate, promote, coordinate, distribute, or transact any goods or services involving:

  • Sex toys, adult novelties, or sexually explicit products
  • Pornography, sexually explicit content, or adult entertainment
  • Drug paraphernalia, including but not limited to pipes, bongs, rolling papers, grinders, or accessories associated with controlled substances
  • Illegal substances, counterfeit goods, or restricted items
  • Human trafficking, exploitation, or abusive content
  • Any activity illegal under U.S. federal law or Maryland law

3.2 Zero-Tolerance Enforcement

Violation of this Ethics Clause results in:

  • Immediate account termination
  • Permanent revocation of access
  • Forfeiture of all fees paid
  • No refunds for past, current, or pending charges
  • Possible reporting to appropriate authorities if illegal activity is suspected

Intent is irrelevant. Suspected, attempted, or indirect violations are treated the same as confirmed violations.

4. Account Suspension and Termination

Hatch & Hype Digital reserves the absolute right, at its sole discretion, to:

  • Suspend or terminate any account at any time
  • Revoke access with or without notice
  • Deny service for any reason or no reason, including but not limited to:
    • Breach of these Terms
    • Ethical concerns
    • Illegal or suspected illegal activity
    • Reputational risk to the Company
    • Operational or security concerns

Termination does not relieve the User of any outstanding financial obligations.

5. No Refund Policy

All payments made to Hatch & Hype Digital or DrakoTrove are final and non-refundable, including but not limited to:

  • Subscription fees
  • Setup fees
  • Usage fees
  • Add-ons or upgrades

This applies regardless of termination reason, including account revocation, ethical violations, or inactivity.

Exception: Refunds may be granted within 14 business days of initial subscription purchase if no orders have been placed using the platform. Refund requests must be submitted via email to hatchandhypedigital@gmail.com and are subject to approval at the sole discretion of Hatch & Hype Digital.

6. Email Forwarding and Manual Handling Fees

DrakoTrove provides email forwarding services for Professional and Enterprise tier subscribers to facilitate distributor communications.

6.1 Email Forwarding Service

When a distributor replies to an order email sent from orders.drakotrove@gmail.com, the reply may be forwarded to the User's registered email address for a forwarding fee.

6.2 Forwarding Fees

  • Each forwarded email incurs a $5.00 USD fee
  • Fees are charged per individual email forwarded
  • Fees are non-refundable once the email has been forwarded
  • Billing for forwarding fees occurs monthly via the User's payment method on file

6.3 User Acknowledgment

By using DrakoTrove's email services, you acknowledge and agree that:

  • You understand that forwarding fees apply to replies received at orders.drakotrove@gmail.com
  • You authorize Hatch & Hype Digital to charge your payment method for all email forwarding fees incurred
  • You will not dispute valid email forwarding charges
  • All order-related emails sent through DrakoTrove include a footer notice informing recipients of the email forwarding policy

6.4 Manual Handling

Certain email replies may require manual intervention by Hatch & Hype Digital staff. In such cases, additional handling fees may apply at the discretion of the Company.

6A. Third-Party Shipping Services

DrakoTrove utilizes ShipEngine, a third-party service provider, to facilitate shipping rate estimation and label purchasing on behalf of Users when applicable.

6A.1 Shipping Rate Estimates

All shipping rates displayed through DrakoTrove are estimates only. Rates are calculated based on information provided by the User or distributor, including but not limited to:

  • Product weight and dimensions
  • Packaging selection and materials
  • Origin and destination addresses
  • Service level and carrier selection

Final carrier charges may differ from estimates. DrakoTrove does not control or guarantee carrier pricing.

6A.2 Responsibility for Shipment Data Accuracy

The accuracy of all shipment-related data is the sole responsibility of either:

  • The distributor (if the distributor has agreed to pay shipping costs), OR
  • The dropshipper/User (if the User has agreed to pay shipping costs)

depending on the party responsible for shipping under the applicable arrangement.

Hatch & Hype Digital and DrakoTrove are NOT responsible for:

  • Incorrect or incomplete product weights or dimensions
  • Improper packaging selections or specifications
  • Inaccurate or undeliverable shipping addresses
  • Misclassified shipments or service levels
  • Customs declarations or international shipping documentation

6A.3 Carrier Adjustments and Additional Charges

DrakoTrove is NOT liable for any carrier-imposed adjustments, fees, or surcharges, including but not limited to:

  • Dimensional weight pricing adjustments
  • Address correction fees or redelivery charges
  • Additional postage due to incorrect weight or classification
  • Fuel surcharges or peak season surcharges
  • Carrier-imposed accessorial fees
  • Customs duties, taxes, or import fees

Any such charges are the sole responsibility of the User or distributor, as applicable, and must be resolved directly with the carrier or through the responsible party's carrier account.

6A.4 Limitation of Liability for Shipping Services

DrakoTrove and Hatch & Hype Digital explicitly disclaim all liability related to shipping and carrier services, including but not limited to:

  • Carrier delays, losses, damages, or service failures
  • Failure to meet guaranteed delivery times or service commitments
  • Carrier route changes, service suspensions, or operational disruptions
  • Incorrect delivery due to carrier error
  • Lost, stolen, or damaged packages while in carrier possession

We do not control, operate, or have any authority over third-party carriers (including but not limited to USPS, UPS, FedEx, DHL, and other shipping providers). All carrier performance, delivery guarantees, insurance claims, and service disputes must be addressed directly with the applicable carrier.

Label Purchasing: When DrakoTrove purchases shipping labels on behalf of Users through ShipEngine, we act solely as a facilitator. The User or distributor (as applicable) remains responsible for all shipping costs, carrier compliance, and shipment outcomes.

6A.5 Customer Privacy Mode and Label Forwarding

DrakoTrove may offer "Customer Privacy Mode" to allow dropshippers/Users to forward shipping labels to distributors/Distributors while limiting the visibility of customer contact information.

When Customer Privacy Mode is enabled:

  • DrakoTrove will attempt to exclude customer email addresses and phone numbers from Distributor-facing documents and communications
  • Shipping labels may still display customer names and delivery addresses as required by carriers for successful delivery
  • Users may optionally choose to display their company name as the "recipient" name instead of the customer's name

IMPORTANT LIMITATIONS AND DISCLAIMERS:

  • No Guarantee of Complete Privacy: DrakoTrove cannot guarantee complete protection of customer contact information. Carriers may require certain data for delivery confirmation, tracking notifications, or delivery exceptions.
  • Carrier Notifications: Some carriers automatically send tracking updates, delivery notifications, or exception alerts directly to phone numbers or email addresses associated with shipments. DrakoTrove has no control over carrier communication policies.
  • Distributor Misuse: DrakoTrove is NOT responsible for how Distributors/distributors use, store, or share any shipment information they receive, including any customer data visible on shipping labels or in forwarded documents.
  • Address Information: Delivery addresses must be provided to carriers and will appear on shipping labels. This is required for successful delivery and cannot be hidden.
  • User Responsibility: Users remain solely responsible for:
    • Vetting and selecting trustworthy Distributors/distributors
    • Ensuring compliance with applicable privacy laws (GDPR, CCPA, etc.)
    • Obtaining proper customer consent for data sharing required for order fulfillment
    • Monitoring Distributor conduct and terminating relationships with Distributors who misuse data

NO LIABILITY FOR PRIVACY INCIDENTS: Hatch & Hype Digital and DrakoTrove shall not be liable for any privacy incidents, data breaches, customer relationship damage, or unauthorized contact resulting from information visible on shipping labels, carrier communications, or Distributor actions.

Label Forwarding: When Users forward shipping labels to Distributors via email through DrakoTrove, the platform will send labels using the Distributor email address designated by the User. DrakoTrove does not verify Distributor email addresses, delivery, or receipt. Users are responsible for confirming labels reach the intended recipient.

6B. Distributor Reliability Network

DrakoTrove may provide access to community-submitted information regarding distributor reliability, fulfillment experience, or communication quality ("Distributor Reliability Network").

This information is provided for informational purposes only. DrakoTrove does not verify, endorse, audit, or guarantee the accuracy, availability, pricing, or performance of any distributor listed.

Users acknowledge that all distributor relationships, agreements, payments, shipping arrangements, and compliance obligations remain solely between the user and the distributor.

DrakoTrove shall not be liable for:

  • Losses, delays, disputes, chargebacks, or damages arising from distributor performance
  • User reliance on community-submitted information
  • Inaccurate or outdated distributor data
  • Carrier issues, fulfillment failures, or Distributor business changes
  • Contract disputes or payment disagreements between users and distributors

DrakoTrove does not act as a marketplace, broker, or intermediary. We provide a platform for users to share experiences, not to facilitate Distributor transactions. All Distributor selection, vetting, contracting, and relationship management is the sole responsibility of the User.

7. Data Handling and User Responsibility

While DrakoTrove employs reasonable security measures, you acknowledge and accept that:

  • You are responsible for the data you input
  • You must not upload unauthorized, illegal, or sensitive third-party data without consent
  • We are not responsible for data accuracy, distributor responses, pricing discrepancies, or fulfillment outcomes

DrakoTrove is a tool, not a guarantor of business results.

8. Disclaimer of Warranties

DrakoTrove is provided "AS IS" and "AS AVAILABLE."

We expressly disclaim all warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy or reliability of data
  • Uninterrupted or error-free service

Use of the service is entirely at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Hatch & Hype Digital shall not be liable for indirect, incidental, consequential, or punitive damages
  • Total liability shall never exceed the amount paid by the User in the preceding three (3) months
  • We are not liable for:
    • Lost profits
    • Lost data
    • Distributor disputes
    • Chargebacks
    • Third-party actions, including carrier and shipping service provider actions
    • Shipping delays, losses, or damages caused by carriers or third-party shipping services
    • Inaccurate shipping rate estimates or carrier pricing adjustments

9A. Plan Limits and Tier Restrictions

DrakoTrove enforces feature and usage limits based on subscription tier. These limits are designed to maintain platform stability and encourage appropriate plan upgrades.

9A.1 Free Plan Limits

Users on the Free Plan are subject to the following mandatory limitations:

  • Team Members: Maximum 2 active team members (staff role) per company account
    • Invitations to additional members will be rejected if this limit is reached
    • Pending invitations count toward this limit
  • Order Assignments: Maximum 5 active assigned orders per calendar month, per company account
    • Maximum 3 active assigned orders per team member per calendar month
    • "Active" orders are defined as orders with status NOT in: FULFILLED, CLOSED, CANCELLED
    • Assignment count resets on the first day of each calendar month (UTC timezone)
    • Assignments exceeding these limits will be rejected by the system
    • Reassigning an order to a different team member updates the assignment timestamp and may affect both members' counts

9A.2 Paid Plan Limits

Users on Starter, Basic, Professional, or Enterprise plans have either significantly higher limits or no artificial limits on team members and order assignments. Consult your plan details for specific allowances.

9A.3 Limit Enforcement

Plan limits are enforced server-side at the point of action:

  • Team member invitations are rejected if adding the member would exceed the limit
  • Order assignments are rejected if assigning would exceed monthly limits
  • Clear error messages inform users when limits are reached and explain upgrade options

9A.4 No Liability for Limit Enforcement

DrakoTrove shall not be liable for:

  • Inability to add team members due to plan limits
  • Inability to assign orders due to plan limits
  • Loss of business opportunity or customer impact resulting from hitting plan limits
  • Any claim arising from our enforcement of plan-based restrictions

It is the User's responsibility to select an appropriate plan tier or upgrade to accommodate their business needs. Limits are clearly communicated in the UI and in these Terms.

10. Indemnification

You agree to fully indemnify and hold harmless Hatch & Hype Digital, its officers, employees, contractors, and affiliates from any claims, damages, losses, or legal expenses arising from:

  • Your use of the service
  • Your business activities
  • Violations of law
  • Violations of these Terms
  • Claims brought by distributors, customers, or third parties

11. Jurisdiction and Governing Law

These Terms shall be governed exclusively by the laws of the State of Maryland, without regard to conflict-of-law principles.

Exclusive venue for any dispute shall be the state or federal courts located in Anne Arundel County, Maryland, USA.

You irrevocably consent to personal jurisdiction and venue in these courts.

12. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

13. Modifications

We reserve the right to modify these Terms at any time. Continued use of DrakoTrove after changes constitutes acceptance of the updated Terms.
